AbbVie to Acquire Apogee Therapeutics for ~$10.9B

- AbbVie entered into a definitive agreement to acquire Apogee Therapeutics for $135.11 per share in cash, at a total equity value of approximately $10.9B. The transaction is expected to close in Q3’26, subject to shareholder and regulatory approvals
- The acquisition strengthens AbbVie’s immunology portfolio by adding Apogee’s clinical-stage pipeline focused on inflammatory and immunological diseases. The lead asset, zumilokibart (APG777), is a late-stage, half-life-extended monoclonal antibody targeting IL-13 and is being developed for atopic dermatitis (AD)
- Apogee’s pipeline also includes APG273, a combination of zumilokibart and APG333, an anti-TSLP mAb, being developed for asthma. AbbVie expects the acquisition to create long-term shareholder value with blockbuster sales potential across multiple inflammatory disease indications
