- Jazz Pharmaceuticals has entered into a definitive agreement to acquire Actio Biosciences, incl. its asset ABS-1230 for the treatment of KCNT1+ epilepsy; closing expected by Q4’26
- Under the merger, Actio shareholders will receive $820M upfront & ~$500M in approval and sales milestones. Actio will spin out a new private company, excl. ABS-1230, which remains with Actio & will be acquired by Jazz
- Jazz will hold a minority stake & related rights to the new private company, while the new company focuses on rare genetic neurological diseases, incl. TRPV4 inhibitor ABS-0871 for Charcot-Marie-Tooth type 2C & other early-stage programs
