Curium and Lantheus to Merge in an ~$8B Deal

- Lantheus to merge with a wholly-owned subsidiary of Curium US, combining Curium’s global theranostics platform with Lantheus’ US radiodiagnostics business; closing expected in H1’27
- As per the deal, Curium will acquire Lantheus for $102.5/share in cash, with shareholders eligible for ~$12/share in non-transferable CVRs, representing total consideration of up to $114.50/share & a transaction value of up to ~$8B
- CVR holders may receive $1/share at ≥$950M & ≥$1.1B sales, plus $2/share at ≥$1.2B, ≥$1.5B, & ≥$1.75B sales of global prostate cancer diagnostics in FY’30, along with global neurology diagnostics ($2/share at ≥$300M & $1/share at ≥$350M in FY’28, FY’29, or FY’30), & global DEFINITY business ($1/share at ≥$400M in FY’30)
